POELLATH powers a clean break for Dürr’s green division

The sale represents another move in Dürr’s strategy to concentrate on automated production solutions.
German law firm POELLATH has advised the management of global mechanical and plant engineering company Dürr Systems on the sale of its environmental technology business to an affiliate of private equity firm Stellex Capital Management.
The Munich team that advised on the transaction included management investments and M&A/private equity partner Dr Benedikt Hohaus and associate Ida Süß.
The environmental technology business consists of the clean technology systems division within Dürr, which includes the areas of exhaust air purification technology and sound insulation systems.
The sale is part of Dürr’s wider strategy to create a leaner setup with three divisions instead of five; however, Dürr will retain a 25% stake in the environmental technology business.
The environmental technology business has an enterprise value of approximately EUR 385 million. After accounting for reinvestment and other transaction-related expenses, the Dürr Group anticipates net proceeds of around EUR 250 million from the sale. These funds will be used to strengthen the Group by reducing its debt. The transaction remains subject to customary approvals and is expected to be completed in the fourth quarter of 2025.

However, it lies outside our strategic core business relating to automation technology. The new owner, Stellex, therefore offers better opportunities for further growth for environmental technology. Through this sale, the Dürr Group will become leaner and sharpen its strategic focus. We will use the proceeds from the sale to strengthen our company.”
